Terms of Service

These Terms of Service ("Terms") govern your use of sownley.com (the "Site"), operated by Sownley Business Solutions LLC ("Sownley," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Our services and the free preview

Sownley designs, builds, hosts, and maintains custom websites for businesses on a monthly basis. For prospective clients, we may build a free, no-obligation preview of a website. A preview is illustrative, may use placeholder content, and creates no obligation for either party. Nothing is owed unless and until you sign our Web Services Retainer Agreement. We may decline, change, or discontinue a preview at our discretion.

Services for signed clients are governed by the separate Web Services Retainer Agreement entered into with that client. If anything in these Terms conflicts with a client's signed agreement, the signed agreement controls for that client.

2. Intellectual property

All Site content, code, design, layouts, and the previews and templates we create remain the sole property of Sownley Business Solutions LLC unless and until ownership or a license is granted in writing under a signed agreement. We deliver website files and transfer a domain only after your account is paid in full and your agreement is cancelled in good standing. You may not copy, resell, sublicense, or redistribute our code, designs, or templates without our prior written consent.

Business names, logos, and website screenshots displayed in our portfolio remain the property of their respective owners and are shown as examples of our work. Any content you provide to us remains yours, and you represent that you have the rights to it.

3. Acceptable use

You agree not to use the Site or our services for any unlawful purpose. This includes, without limitation: distributing illegal or obscene material; violating any applicable law or regulation; infringing the intellectual property or other rights of any third party; transmitting spam, malware, or harmful code; or placing an excessive or abusive load on our infrastructure. You are solely responsible for any content you submit or publish. We may suspend or terminate access immediately, without liability, for any prohibited use.

4. Links to other websites

Our portfolio links to live client websites and to preview demos, which open in a new tab. These are separate websites that we do not control once delivered, and we are not responsible for their content, policies, or availability.

5. Disclaimers

The Site and our services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except as expressly stated in a signed agreement. We do not guarantee website uptime, search engine rankings, traffic volume, conversion rates, or any specific business results. Any examples, scores, or projections shown are illustrative and are not a guarantee of performance. We are not responsible for interruptions caused by third-party platforms, internet infrastructure, or events beyond our reasonable control.

6. Limitation of liability

To the fullest extent permitted by law, Sownley Business Solutions LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or our services. Our total liability for any claim relating to the Site is limited to the amount you paid us, if any, in the three months before the claim arose.

7. Billing and refunds

8. Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted to this page, and your continued use of the Site means you accept the updated Terms.

9. Governing law

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Oklahoma for any matter arising from your use of the Site, except where a signed client agreement provides otherwise.
